The Court-appointed Lead Plaintiffs, West Virginia Investment Management Board, Stichting Blue Sky Global Equity Active Low Volatility Fund, and Stichting Blue Sky Active Large Cap Equity USA Fund, on behalf of themselves and the Settlement Class, have reached a proposed settlement for $192,500,000, with $160,000,000 being paid in cash and $32,500,000 being paid in cash or shares of freely-tradable Dominion Energy, Inc. (“Dominion Energy”) common stock (the “Settlement”), at the option of SCANA Corporation (“SCANA” or the “Company”). (If Dominion Energy shares are part of the Settlement consideration, they may be sold and converted into cash before distribution to eligible claimants.)
The proposed Settlement would resolve claims in a pending securities class action brought by investors alleging, among other things, that defendants SCANA, Kevin B. Marsh, Jimmy E. Addison, Stephen A. Byrne, Harold C. Stowe, D. Maybank Haygood, and James W. Roquemore (collectively, “Defendants”) violated the federal securities laws by making false and misleading statements regarding SCANA’s business.
